Skydance's merger settlement covers films and the newsroom but leaves streaming prices and payroll open
Paramount Skydance closed its $110bn Warner Bros Discovery merger with $80bn of debt and a $6bn yearly savings target. Its settlement with US states covers films and news, while streaming prices and jobs stay its own call.
The Board Room · Leadership desk

What happened
- If Skydance misses the film quota, it could be forced to sell its 49% stake in Miramax.
- A CVL Economics report for LA County estimated the merger could cut about 4,500 direct film and TV jobs and $1.26bn in wages over three years.
- A news editorial independence board for CNN and CBS will be appointed directly by Paramount.
Why it matters
- What it limits constraint For five years, a company whose debt equals about 73% of the deal value has to keep funding a cinema slate it could otherwise trim, and missing the quota could cost it the Miramax stake.
- What it sets up precedent Once the quota lapses, Disney's handling of Fox shows what an owner with no output limit tends to do with a studio's cinema slate.
- Who's exposed exposure Los Angeles film and TV workers and the local businesses that serve them carry the staffing risk, because the settlement pays for retraining but sets no cap on layoffs.

Skydance's merger settlement limits where Ellison can find $6 billion in cutsConfirmed12 publishers
Skydance's debt equals about 73% of the deal's $110bn value [15]. The $80bn is roughly 13 times the $6bn the executives hope to save each year [6][17]. The BBC's reporting points to two places the money could come from: the streaming services and the payroll. US states that objected to the deal settled for conditions covering the film slate, a retraining fund and a newsroom board [4][22][10].
Streaming is the decision that comes first. Skydance now owns both HBO Max and Paramount+ [7]. Analysts expect overall prices to rise once the two are combined into one platform or bundle, even if people who already pay for both save money at first [8]. "There's no way that a combined Paramount+ and HBO Max streaming service won't end up costing more for those who subscribe to only one of the services," Mike Proulx, research director at Forrester Research, told the BBC [9]. None of the conditions in the BBC's account covers streaming prices [4][10].
The film quota is the condition with a penalty attached. Skydance must release 30 films a year for two years and 32 a year for three more, 156 in total [16]. Most must be wide releases in cinemas, and at least four a year must be independent films [4][5]. If it falls short, it could be forced to sell its 49% stake in Miramax [14].
Breanne Gilliam, a corporate lawyer at Maddin Hauser, called the commitment meaningful [24] and then made the skeptic's case. "Once those obligations expire, the company will have far more flexibility," she said. "Temporary rules cannot permanently fix a structural market shift" [19]. On year six, the record backs her. After Disney bought 21st Century Fox for $71bn in 2019, 20th Century Fox went from 12 to 17 cinema releases a year to three to six [20]. My answer to her is about timing. Anyone planning this quarter faces five years of 30 to 32 films as a fixed floor. After that, the BBC notes, Skydance could follow Disney and Netflix in putting streaming ahead of cinema [25].
Payroll has the least protection. A CVL Economics report for LA County estimated the merger could eliminate about 4,500 direct film and TV jobs and cost $1.26bn in lost wages over three years [11]. The estimate equals about 9% of the roughly 50,000 film and TV jobs the region has already lost since 2022 [21][18]. The settlement sets up a fund to retrain displaced workers but does not block cuts [22]. "Nothing in the settlement limits layoffs," Gilliam said [23]. Syleecia Thompson, a business professor at National University, said "it hits small businesses, vendors, caterers and local communities" [13].
I think the newsroom condition is the weakest of the three. The deal puts two major US television news operations under one corporate roof [12]. The board meant to protect editorial independence at CNN and CBS is appointed directly by Paramount [10].
Management's first decisions, on how to combine HBO Max and Paramount+ and how many people to keep, fall outside the settlement as reported. The film floor binds for five years and lapses after the 156th release [16].
What to watch
- How and when Skydance combines HBO Max and Paramount+, and the price it sets for people who subscribe to only one service.
- Skydance's first-year release count against the 30-film floor, since a shortfall puts the 49% Miramax stake at risk.
- Who Paramount appoints to the news editorial independence board, and what powers the board is given over CNN and CBS.
