Schneider Electric pays $22.6 billion for PTC to own the design data behind industrial AI
Schneider Electric agreed to buy PTC for $22.6 billion in cash, a 42.3% premium at $205 a share. The cost savings it promises cover only part of that premium, so the price depends on PTC's engineering data selling more Schneider software.
The Investor · Invest desk
What happened
- PTC sells computer-aided design, product lifecycle and service lifecycle software to more than 30,000 customers worldwide.
- Schneider will pay roughly $22 billion in cash, funded by $5 billion to $6 billion of new shares and $16 billion to $17 billion of new debt.
- Schneider shares fell more than 8% in European morning trading on Monday, while PTC jumped 35% in US premarket trading.
Why it matters
- What it costs cost Taking the FT's figure of about $196 billion, the 8% fall took roughly $15.7 billion off Schneider's market value, a bit more than twice the $6.7 billion premium going to PTC holders.
- What it limits constraint With about three-quarters of the price borrowed, Schneider's balance sheet depends on PTC's growth until a closing that could come as late as the third quarter of 2027, and Cognite's approvals are still pending.
- Who has to decide decision Software and services would make up about 24% of revenue after closing, so investors have to decide how much of Schneider to value as a software company, the category that cost PTC 17% of its share price this year.

Schneider Electric raises 2026 guidance a second time after 16.9% organic growth in the third quarterConfirmed3 publishers
PTC's enterprise value of $23.7 billion [3] against about $2.74 billion of revenue in the year to September 2025 [4] comes to roughly 8.6 times sales [23]. The premium is the more useful figure. At 42.3% over the last close [2], Schneider is paying about $6.7 billion more than PTC's equity was worth before the bid [24]. Schneider expects $250 million a year in cost savings by the third year after closing [5]. To cover the premium on their own, those savings would have to be worth 27 times their annual amount, before tax [25]. The rest has to come from the roughly $800 million in revenue synergies Schneider projects [6], equal to about 29% of PTC's current revenue [26].
Schneider's case for that revenue rests on owning the data. PTC adds product and engineering data to the process and energy data Schneider already holds [14], and the company says the deal triples its addressable market in industrial software [15]. Olivier Blum, Schneider's chief executive, said: "By connecting and contextualizing data across the lifecycle of products and assets, we will create a unique digital thread for the next generation of Industrial AI, helping customers optimize their systems with greater intelligence from design and build, to operate and maintain." [13] The Cognite purchase [10] fits the same plan. Schneider is still buying hardware as well: The Wall Street Journal reported a roughly $1.35 billion bid for smart-device maker Shelly Group [11]. The three deals add up to about $27 billion of announced value this year [30].
The difficulty is the price PTC traded at before the bid. Its shares fell about 17% between January and the Friday before the announcement on worries about AI's effect on software, The Wall Street Journal reported, and PTC stepped up its buybacks in response [9]. Schneider is paying 42.3% over a price [2] set by investors who feared the same technology Schneider says will raise PTC's value. One possibility is that the market misjudged which software AI threatens. The other is that Schneider paid a premium on top of a discount that reflected a real risk. Neil Barua, PTC's chief executive, made the first case, saying manufacturers rely on PTC's software "to design, build and maintain great products and unlock more value from their product data in an increasingly AI-driven world." [20]
PTC's 35% premarket jump [8] put it near $194.50 on the implied pre-bid price, about 5.4% below the $205 offer [29]. That gap is what PTC holders are paid to wait for a closing targeted by the third quarter of 2027 and subject to shareholder and regulatory approval [16]. A Seeking Alpha contributor who rates Schneider a hold with a EUR 200 target counts the new debt, the integration risk and a five-year ramp in return on invested capital against the deal [18], and wrote: "I see no compelling need for this high-premium M&A at current valuations." [19]
I think the logic is sound and the price is full. Putting design data and operating data in one company is a coherent answer to the question of where industrial AI gets paid, but Schneider has priced the deal as if that answer were already proven. The view is wrong if the $800 million of revenue synergies [6] shows up in reported software revenue. It holds if the savings arrive and the revenue does not, leaving Schneider with a business bought at 8.6 times sales [23] and $16 billion or more of new debt [7].
What to watch
- Schneider's third-quarter 2026 results on 16 October, the first chance for management to explain the leverage and when the $5 billion to $6 billion share issue will come.
- The PTC shareholder vote and the regulatory reviews of both PTC and Cognite, either of which could widen the roughly 5% gap between PTC's share price and the $205 offer.
- Any disclosure of when the $800 million in revenue synergies is expected to arrive, since the price depends on that figure more than on the cost savings.
