Evernorth delays the Nasdaq debut of its mostly privately funded XRP treasury to Oct. 12

Evernorth pushed its merger close to Oct. 9 and the Nasdaq debut of XRPN, set to hold about 473 million XRP, to Oct. 12. Armada II's public trust supplies about a sixth of the deal's cash; private placements and notes supply the rest.

What happened

  • The new dates replace an Oct. 7 close and an Oct. 8 first trading day that Evernorth set out on Oct. 1.
  • Shareholders of Armada Acquisition Corp. II, the SPAC Evernorth is combining with, approved the merger at a Sept. 30 meeting.
  • The combined company will be Evernorth Holdings Inc., trading under XRPN, a symbol Nasdaq-listed Armada II already uses.
  • Ripple, Arrington Capital, SBI Group, Pantera Capital, Kraken and GSR are among the backers named in the Oct. 1 announcement.
  • Evernorth plans to grow XRP per share by lending tokens and supplying assets that facilitate transactions in blockchain markets.

Why it matters

  • Who's exposed exposure Private placements and notes supply about 84% of the cash, so from Oct. 12 the backers' commitments get a daily public price set by a float that funded about 16%.
  • Who has to decide decision Buying XRPN instead of XRP means buying Evernorth's lending and liquidity plans along with the tokens, plus the counterparty risk those plans add.
  • What it limits constraint With both dates filed as 'on or about' and subject to listing requirements, Oct. 12 is a target, and positions timed to the first trade can be caught by another slip.

The cash pieces in the Oct. 1 announcement add up to $303 million, a little above the rounded figure of about $300 million in gross proceeds before expenses [10][15]. Private placements bring $225 million and convertible notes $30 million. Armada II's trust, the money from the SPAC's public offering, adds about $48 million [10]. That makes public-offering cash roughly 16% of the total, against 84% from placements and notes [16][17]. The XRP comes in separately, contributed directly by investors in exchange for ownership interests [13][3]. The announcement, as reported, does not put a dollar value on the 473 million tokens, give a post-close share count, or say what the trust held before the vote.

I think the cash split matters more than the slip for anyone treating XRPN as a test of demand for listed crypto treasuries. Most of the money behind Evernorth comes from its backers, and from Oct. 12 a public market that supplied about a sixth of the cash will price the whole company each trading day [16][17].

The slip is short. Closing moves two days and first trading four, so the wait between them grows from one day to three, Friday, Oct. 9 to Monday, Oct. 12 [18][19]. In an Oct. 6 post on X, the company said the cause was "an administrative delay that is not expected to affect the closing", with both dates "subject to customary closing conditions and Nasdaq listing requirements" [5]. The Form 8-K filed the same day, signed by chief executive Asheesh Birla, calls each date "on or about" [11]. Earlier, the SEC declared the registration statement effective on Aug. 27, a step the filing separates from any SEC approval of the deal's merits or fairness [12].

The likeliest outcome is that the deal closes on or about Oct. 9, the first trade arrives four days late and nothing else changes [18]. A second possibility is that the "on or about" wording gets used again and the date moves past Oct. 12 [11]. A third is that XRPN lists on time and trades below the value of the XRP behind each share. I put most weight on the first, because the company expects the delay not to affect the closing and the Oct. 1 announcement confirmed participation by all funders contributing early or at closing [5][9].

On demand, I'd treat the public price as the better evidence, since the private money committed before any market could price the structure [9]. The counter-case is that $225 million of private placements already is the demand test, passed, and the Oct. 12 tape shows only how a converted SPAC float trades [10]. If the close slips again, the administrative explanation was wrong. The view that the public price is the better gauge is wrong if XRPN trades so thinly after Oct. 12 that its price reflects the size of the float more than appetite for an XRP treasury.

What to watch

  • Whether the merger closes on or about Oct. 9 as the 8-K states, or a further filing moves the date again.
  • XRPN's first trading prices after Oct. 12 against XRP per share, once Evernorth publishes a post-close share count.
  • Evidence that Evernorth has started lending XRP or supplying liquidity, the plan it says will grow XRP per share.
