OKX and ICE file for a 24/7 venue where stablecoin pools price more than 60 U.S. stocks

OKX and NYSE owner ICE have filed with the SEC to run a 24/7 venue for more than 60 tokenized U.S. stocks traded against stablecoins. How useful it turns out to be depends on how deep its liquidity pools stay on weekends, when no cash market is open for arbitrage.

What happened

  • Executable prices will come from the ratio of assets in each liquidity pool, with NYSE and Nasdaq data used only for displays and trading-halt checks.
  • An unnamed third party called the Tokenizer will hold one real share for every token through an SEC-registered, FINRA-member broker-dealer.
  • When it granted the exemption the venue relies on, the SEC asked for comment on how overnight tokenized trading could affect exchange openings and closings.

Why it matters

  • Who's exposed exposure Liquidity providers quoting on Saturdays carry inventory they cannot hedge until the cash market reopens, so weekend depth depends on how much unhedged risk they will hold.
  • What it limits constraint Each issuer objection removes a stock from the venue whatever investor demand for it, so the published list is an upper bound on what can trade.
  • What's now possible capability If pools are deep, traders get a continuously updated price for news that breaks on a Saturday, ahead of Monday's open.

Executable prices on OKXICE will not come from the NYSE or Nasdaq tape [3]. Buying tokenized Nvidia pulls tokens out of a Uniswap v4 pool on X Layer and puts stablecoins in, so the price rises because the ratio moved [4][5]. On a weekday, a gap between the pool and the cash price is an arbitrage, because eligible participants can mint or redeem tokens against shares held one-for-one [7][21]. Of the 168 hours a week the venue would be open [23], 48 fall on Saturday and Sunday [24], about 29% of the total [25]. In those hours arbitrageurs have no open cash market in which to hedge or buy the underlying shares [12].

TD Securities thinks pool design decides how much of that weekend time is usable. "We see Prop AMMs and managed Multi-Pool Venues as much more consequential than conventional AMM models," the analysts said [10]. In those designs, they argued, liquidity providers can adjust prices and inventory and are "less likely to be picked off by stale prices" [10]. Under that model a market maker sets prices from market data and its own inventory [11]. On a Sunday the cash market prints nothing, so the quote is the market maker's own estimate, sized by how much stock it is willing to carry into Monday [12].

A Sunday quote is a price set by whoever trades against the pool [3]. According to CryptoSlate, it would not determine where the stock opens Monday, though a liquid enough pool could give traders a running indication of how investors are reacting [13]. Thin pools could swing further from the value the cash market later assigns [22]. In granting the exemption, the SEC asked for public comment on how overnight tokenized trading could affect liquidity, pricing and the opening and closing processes of conventional exchanges [14].

The weak case is thin weekend pools, wide gaps and a venue that is mostly a weekday product with longer hours. The strong case has market makers treating Monday's convergence as a paid trade [21] and quoting tight on weekends. Sunday closes would then start to predict Monday opens, and the SEC's question about the opening process would stop being hypothetical [14]. Supply can cut either case short. CryptoSlate counts 63 securities in the initial list [2], but companies can object within a 30-day window, and Cerebras already has, according to the filing as reported by CoinDesk [8]. "No symbol is a given," TD analysts wrote [9]. CryptoSlate lists SEC volume caps among the limits without giving their size [15], and CoinDesk describes the regulatory relief as temporary [19].

I think the weak case is more likely early on. The risk that would make a weekend price informative is the same risk a liquidity provider cannot hedge until Monday [12]. The counter-case is that the mint-and-redeem link pays whoever carries that risk at the open [7][21], and enough firms may want that trade. Weekend pool prices that land close to Monday opens across most of the list, with depth holding through Saturday, would prove the weak case wrong.

ICE, which bought a stake in OKX in March [17], gets half of a 24/7 equity venue [2] without running an order book, taking custody of client assets, extending credit or doing primary offerings [16]. The shares sit with the unnamed Tokenizer through a FINRA-member broker-dealer [6]. The price risk sits with liquidity providers, who need a soulbound access token and a KYC review to take part [20]. "This is a landmark step toward a truly global, 24/7 Wall Street," said Andrew Cuomo, the venture's co-chair and a former New York governor [18].

What to watch

  • Which of the 60-plus listed companies file objections before the 30-day window closes, and whether any of the largest names join Cerebras.
  • Weekend pool depth once trading starts, and the gap between Sunday closing pool prices and Monday opening prices.
  • The size of the SEC volume caps and how long the Innovation Exemption relief runs.

  1. [1]

OKXICE, a joint venture between OKX and NYSE owner Intercontinental Exchange, filed a regulatory notice listing more than 60 U.S. securities it plans to offer in tokenized form on a venue operating 24 hours a day, seven days a week, including nights and weekends.

  2. [2]

On Oct. 4, OKXICE, the companies' 50-50 joint venture, notified the SEC it intends to launch a Tokenized Securities Venue under the Innovation Exemption, initially supporting 63 securities including Nvidia, Tesla, Apple, Microsoft, JPMorgan, Goldman Sachs, Coinbase and Circle.

  3. [3]

OKXICE's smart contracts will not rely on the prevailing NYSE or Nasdaq price; prices will be set by the ratio of assets in automated market maker liquidity pools, with external stock-market data used for displays and trading-halt checks but not feeding the contracts that determine executable prices.

  4. [4]

The permissioned markets will use Uniswap v4 liquidity pools deployed on X Layer, OKX's blockchain network, with tokenized stocks trading against USDC, USDT or USDG.

  5. [5]

Buying Nvidia tokens takes them out of the pool and adds digital dollars, pushing the price higher; selling does the reverse.

  6. [6]

The tokens are not issued by ICE, OKX or OKXICE; an unnamed third party called 'the Tokenizer' holds the underlying shares one-for-one through an SEC-registered, FINRA-member broker-dealer.

  7. [7]

OKXICE's filing says third-party tokenizers must maintain one underlying share for each token outstanding, with minting and redemption channels available to eligible participants, and tokens must carry equivalent economic and governance rights including dividends and voting rights.

  8. [8]

Inclusion in the filing does not guarantee a stock will trade, as companies can object during a 30-day window; Cerebras objected to the inclusion of its stock, according to the filing.

  9. [9]

"No symbol is a given," TD Securities analysts wrote in a report on Monday.

  10. [10]

TD Securities analysts said: "We see Prop AMMs and managed Multi-Pool Venues as much more consequential than conventional AMM models," arguing that liquidity providers can actively adjust prices and inventory and are "less likely to be picked off by stale prices."

  11. [11]

Under the prop AMM model, a market maker would set prices using market data and its own inventory.

  12. [12]

Weekend shocks would leave arbitrageurs without an open cash market in which to immediately hedge or acquire the underlying shares.

  13. [13]

A weekend price on the venue would not determine where the underlying stock opens Monday, but a sufficiently liquid market could give traders a continuously updated indication of how investors are responding before conventional trading resumes.

  14. [14]

In granting the exemption, the SEC sought public comment on how overnight tokenized-stock trading could affect liquidity, pricing and the opening, reopening and closing processes of conventional exchanges, and cited potential price dislocations as a concern for public companies whose stocks may be tokenized by third parties.

  15. [15]

CryptoSlate wrote that issuer objections, thin liquidity and SEC volume caps will test whether the market can influence conventional pricing.

  16. [16]

Per the notice, OKXICE TSV does not operate an order book, does not hold or take custody of participants' assets, does not extend credit, and does not conduct primary offerings of securities.

  17. [17]

Intercontinental Exchange acquired a stake in OKX in March.

  18. [18]

"This is a landmark step toward a truly global, 24/7 Wall Street," OKXICE co-chair and former New York Gov. Andrew Cuomo said.

  19. [19]

CoinDesk wrote that corporate objections, liquidity concerns and temporary regulatory relief may limit adoption of the platform.

  20. [20]

Only wallets holding a valid soulbound token issued by OKXICE TSV may trade in or provide liquidity to a pool; eligible participants include institutions and retail investors, all subject to KYC/CFT review.

  21. [21]

The one-for-one linkage with minting and redemption could turn differences between the onchain and conventional price into opportunities for market makers rather than permanent divergences, once the traditional market is available.

  22. [22]

Thin pools could produce larger swings or wider deviations from the value investors eventually assign to the underlying shares once traditional markets reopen.

  23. [23]

A venue open 24 hours a day, seven days a week is open 168 hours a week.

  24. [24]

Saturday and Sunday account for 48 of the venue's weekly hours, when no cash market is open for the underlying shares.
