SoftBank sends $11bn of its OpenAI bill to the high-yield market
Ten billion dollars of notes plus a billion in euros price around September 24 to fund a commitment approaching $65bn. The 13% stake SoftBank is targeting implies a valuation well below the $730bn cited.
The Investor · Invest desk
What happened
- SoftBank Group is preparing to issue more than $11bn of high-yield bonds, with the proceeds earmarked almost entirely for its mounting financial commitments to OpenAI.
- The structure is $10bn of US dollar bonds across three maturities plus 1bn euros of euro-denominated notes across two.
- On September 15, 2026, SoftBank repaid $25.9bn of the $40bn bridge loan it had taken out to fund the OpenAI position.
Why it matters
- What doesn't add up contradiction A buyer of this paper has to decide which published number describes the asset, because a targeted 13% stake and a $730bn pre-money valuation cannot both hold for a cheque approaching $65bn.
- Who's exposed exposure About 17% of the OpenAI position is now funded by high-yield investors who hold fixed claims on SoftBank Group and no participation in the stake's gain.
- What it limits constraint With roughly $28bn of the commitment still unfunded, SoftBank's refinancing calendar, not OpenAI's next round, sets the pace at which the rest gets paid.
- What it sets up precedent If $11bn of BB+ paper clears to fund a minority stake in a private company, other holders of large unlisted marks have a template for borrowing against them.

SoftBank pays up to 9.75% on a record $11 billion junk sale to avoid selling assets it expects to riseConfirmed2 publishers
Put SoftBank's two published figures next to each other. A commitment approaching $65bn for a targeted 13% stake works out to a post-money valuation of about $500bn, or $435bn before the cash goes in [6]. Crypto Briefing reports that the same commitment implies a $730bn pre-money valuation for OpenAI [9]. Both cannot describe one cheque, because at $730bn pre-money, $65bn buys about 8.2% [10]. The likeliest reconciliation is a commitment staged across more than one round at more than one price, and the report does not break it out that way.
The funding side is cleaner. SoftBank has raised roughly $37bn this year through loans and bond sales [13], so even if every dollar of that went to OpenAI, about $28bn of the commitment is still unfunded [11]. There is $14.1bn left on the bridge facility [12]. The $11.87bn loan from roughly 20 banks [14] and this $11bn of bonds [1] together come to $22.87bn of new money [19]. The bond deal on its own covers about 17% of the OpenAI commitment [7].
What a high-yield account gets for that is a coupon, which gets set when the deal prices around September 24 [3], and a claim on SoftBank Group [1]. The gain in the stake belongs to SoftBank's shareholders. If OpenAI's mark rises, the bonds pay par; if it falls, the bonds still come due at par. The credit risk is ordinary. The asset generating the cash to service it is an unlisted equity position in a private company.
The counter-thesis has real support, and read that way this is treasury work: term out a bridge, lengthen maturities, hold the equity. BB+ is one notch below investment grade [5], Citigroup, Goldman Sachs, JPMorgan and Morgan Stanley are running the books [3] after investor outreach in New York [15], and Crypto Briefing describes the deal as a more deliberate approach to liability management than the improvised financing behind some earlier SoftBank investments [17].
In my view the more interesting version is that the funding mix has changed hands. The new exposure sits in fixed claims that do not reprice when the asset does. The 2022 collapse in tech valuations left SoftBank badly exposed through the Vision Fund era [16], and that exposure sat in marks.
An OpenAI round priced at or above $730bn would show that wrong, because SoftBank could mark the stake up while the bonds stay at par. So would a move up to investment grade, which would cut the coupon on the next refinancing. Masayoshi Son has been public about regarding artificial general intelligence as the most important technological shift of his lifetime [18].
What to watch
- The coupon and spread set when the deal prices around September 24, measured against comparable BB+ paper.
- Whether SoftBank terms out the $14.1bn still on the $40bn bridge or rolls it again.
- Any OpenAI round that puts a dated price on the stake at or above $730bn.
