Three labels, one cap table: the majors buy into Stability AI instead of suing it

Universal, Sony and Warner all took equity in Stability AI's $76 million Series B. Two years after suing AI song generators, the majors are buying the toolmakers.

What happened

  • Stability AI closed a $76 million Series B taking money from Universal Music Group, Sony Music Group, Warner Music Group, Electronic Arts, AMD Ventures and Pacific Alliance Ventures.
  • It is the first time all three major record labels have held an equity stake in the same AI company.
  • Universal signed a partnership with Stability in October 2025 and Warner in November 2025; Sony has no announced equivalent.
  • The raise takes total funding to $232 million under chief executive Prem Akkaraju, who took over in June 2024.

Why it matters

  • What it sets up precedent The next model builder asking a major label for catalogue access should expect the fee to come with a request for stock, because three labels have now shown they will take it.
  • Who's exposed exposure An artist asking what a catalogue licence was worth is now asking a label that also owns shares in the licensee, and nothing announced describes an artist share of that upside.
  • What it limits constraint Litigation gets harder to swing at the licensed camp once a plaintiff owns part of it, since a win writes down its own holding.
  • What doesn't add up contradiction Variety's list of catalogue deals covers Universal, Warner and EA only, so Sony's cheque reads as an option on the technology rather than a commitment of its recordings.

The round closed on 25 August 2026, and the cheque is modest against the market it points at [2]. Black Forest Labs, started by three former Stability researchers, raised $300 million in December 2025 at a $3.25 billion valuation, and Runway raised $315 million in February 2026 at $5.3 billion [13][14]. Runway's single round is $83 million larger than everything Stability has raised under Akkaraju [16]. Stability gave no valuation for this one, while both rivals published theirs [4].

What the labels bought sits next to what they already sell. Variety reports Stability has deals with Universal, Warner and Electronic Arts to build models on those companies' catalogues and intellectual property [7]. The counterparties supplying training data now hold stock in the company doing the training. A licence pays once, on terms the label negotiates and can point to. Equity pays only if the product works, and it pays into the parent, not into the catalogue.

The hedge shows in where the equity did not go. Universal, Sony and Warner sued Suno and Udio over unlicensed training data [12], then settled and signed licensing deals with Udio, Suno and a startup called Klay Vision from late 2025 onward [8]. The stock went instead to the company whose audio model, Stable Audio 3.0, is built entirely on licensed data and ships through a digital audio workstation plug-in [9]. That is a position in the licensing argument rather than a bet on which generator wins listeners.

The forecast makes the size of the cheque legible. The Business Research Company, in a July 2026 report, put generative AI in media and entertainment at $2.5 billion in 2025 and projected $8.06 billion by 2030 [15]. That is roughly 3.2 times growth, about 26 percent a year [18]. It is also less than the $8.55 billion that private investors had already assigned to Black Forest Labs and Runway alone by February 2026 [17]. Whatever the majors are pricing here, it is not a slice of an $8 billion segment four years out.

Which leaves the plan for the money. Stability says it funds the creative production product suite, applied research, and an expanded professional services arm that works directly with studios and labels [10]. Coatue co-founder Thomas Laffont takes a board seat [11]. Read those together and the business on offer is a services operation selling to the same firms that now sit on its share register, which is a comfortable arrangement until one of them wants different terms.

What to watch

  • Whether Sony follows its cheque with an announced catalogue deal, or keeps its recordings out of Stability's training data.
  • Whether Stability discloses a valuation at the next raise, and how it compares with Black Forest Labs at $3.25 billion and Runway at $5.3 billion.
  • Whether any label-Stability licensing terms are published in enough detail for performers to see their share.
