Disney sets a $20 million opening bid for Character.AI's IP in Chapter 11
Disney will open bidding at $20 million for a license to Character.AI's IP after the chatbot startup filed for Chapter 11 in Delaware. Character.AI says it will wind down the service if the sale produces no bid sufficient to keep the platform running.

What happened
- Other potential buyers can still make higher bids under the bankruptcy process, so the $20 million is a starting position.
- Disney hired former Character.AI CEO Karandeep Anand as its CTO last month, ahead of the filing.
- Character.AI says the platform stays online during the sale process and expects the sale to finish by late November or early December.
- Earlier this year Character.AI and Google agreed in principle to settle several family lawsuits, including claims over teenagers who died by suicide or self-harmed.
Why it matters
- Who's exposed exposure Paid subscriptions remain active and billing is unchanged for now, but whether the service continues turns on what bidders offer, and the sale is where that is decided.
- What it limits constraint Disney says it would provide transition services using former Character.AI employees it has hired. A rival bidder for the platform therefore starts without some of the people who know the product, which narrows who can credibly outbid.
- What it sets up precedent Google in 2024 and Disney now have each taken people and non-exclusive rights without buying the company. Two cases is thin for a rule, but in our view a distressed consumer-AI board can now expect incumbent interest to arrive as hire-and-license offers.

Disney's bid covers one slice of Character.AI. It is for a non-exclusive, perpetual license to certain intellectual property and claims [1], while the company is seeking a sale of all or substantially all of its assets [5]. In our view the $20 million [2] sets a reference price for that slice only. The platform is priced separately, by whoever bids for it.
A skeptic would say the sequence is plain: lawsuits, a settlement, then a forced sale. The record supports the first two steps [15][16] and leaves the third to inference. Chief executive Colin Adams said in a Monday statement that the company had taken steps to "sustain and improve" its business amid "significant legal, regulatory, and operational headwinds" [6]. The company did not itemize those pressures [7], and the settlement terms were not disclosed [17]. The surrounding record names one of them. Families sued, alleging the chatbots contributed to teenagers' mental-health crises [15], and Character.AI announced last year that it would ban under-18s from open-ended conversations with its chatbots [14].
Google ran an earlier version of this structure. In 2024 it rehired founders Noam Shazeer and Daniel De Freitas and paid to use Character.AI's technology on a non-exclusive basis, and the startup carried on as its own company [12]. Disney has hired the former CEO and would hold a non-exclusive license of its own [8][1]. In both cases the incumbent took people and a non-exclusive license. The operating company was left for the startup to sell or close [5][10].
What to watch
- Whether any bidder other than Disney files a higher offer before the sale is due to close in late November or early December.
- Whether the winning bid covers the operating platform, or only IP, since the company says it will wind down the service if no bid is sufficient to keep it running.
- Whether the terms of the Google settlement agreed in principle are disclosed, and how the cost divides between Character.AI and Google.
